Subcontracting Approach

We encourage relationships that move beyond contractual requirements to operate in a spirit of support. co-working and transparency.

A comprehensive Sub-contractor Manual sets out lnspira's relationship with supply chain partners. our respective roles and responsibilities. arrangements for performance management. review. quality assurance. capacity building and other aspects of our approach. The manual is shared and discussed with all members of our supply chain and its contents implemented proportionately to the size of the sub-contracting organisation and the requirements of the contract. Whether contracting with an extensive supplier network or. as in this case. with a single trusted supplier. we follow the same management practices and standards.

We provide sub-contractors with an objective framework for measuring performance to achieve contracted outcomes. Contract Managers agree objectives and Key Performance Indicators with sub-contractors. together with monitoring and review arrangements. Monitoring includes regular meetings. conference calls. reviewing management information and claims. support visits as well as direct observation of delivery. Monitoring involves examination of all aspects of the contract and planning future actions.

We believe in a supportive and challenging management approach. Both parties should take all reasonable steps to help the other in its performance to the benefit of our clients. Whilst being fully supportive of our partners. we are clear that contracted obligations need to be delivered. Where underperformance of sub­ contractors is identified it is addressed through support. development and targeted. measured action plans.

We seek to manage risk fairly. objectively and consistently within our supply chain. Contract Managers use factors including the percentage. volume and value of the contract. previous performance and length of time as a sub-contractor to agree overall risk categorisation with each sub-contractor. This helps us anticipate and manage areas of concern together and treat sub-contractors fairly and proportionately.

The structure and method of our payments to sub-contractors are agreed and documented at contracting stage. Our payment mechanisms mirror the terms of main contracts. based upon satisfactory performance. ensuring that exposure to risk is transparent and proportionate. Our model transfers a full and fair proportion of contract value to sub-contractors. reflecting true delivery costs.

We keep contract management overheads to a minimum and use central resources to provide additional support to boost the capacity of sub-contractors.

We avoid exposing smaller sub-contractors to risks which might jeopardise their capacity and adopt approaches to mitigate this on a case-by-case basis.

We do not charge fees for entry to our supply chain. Our management fees vary according to different contracts and commissioners.

Subcontractor Payment Arrangements:

Our commitment to pay valid invoices within 30 days is detailed in the draft sub­ contract (copy supplied).

Non-learning Delivery Costs:

These are currently being negotiated and will be itemised in Schedule l of our sub­ contract.
